JUPITERWILL TERMS AND CONDITIONS
SERVICES
Jupiterwill will provide the services specified in an order from the customer that is accepted in writing, subject to these terms alone, and no variation will be binding unless agreed in writing by Jupiterwill. All services will continue until cancelled in writing.
QUOTATIONS
A quotation does not constitute a binding offer and the terms may be changed at any time up until acceptance by Jupiterwill of an order from the customer. Services may be amended provided the quality is not materially affected.
PRICE
Prices are exclusive of VAT and will be based upon costs at the time of the quotation, and adjustments may be made for changes in the quotation or for subsequent changes in costs.
PAYMENT
Payment will be due on receipt of invoice. Time of payment is of the essence. Services and access to websites may be withheld until payment has been made in full for all money owed.
WARRANTIES
The Customer warrants that it has the right to order the services and will indemnify and hold Jupiterwill harmless against all claims, expenses and costs in connection with any infringement or alleged infringement of any patents, copyrights, registered designs, intellectual property, trade marks or other rights.
Jupiterwill warrants that the services will be performed to such standard of quality as it is reasonable for the customer to expect in all the circumstances. Jupiterwill makes no warranties or representations that the services will be uninterrupted or error-free.
LIABILITY
The customer has full responsibility for the content of the websites and Jupiterwill will not be liable for any defect arising from information provided by the customer. Jupiterwill’s obligations are limited, at its option, to providing new services or repaying the value of the services. Jupiterwill’s liability will be limited to the price paid for the services which are the subject of any claim. Jupiterwill will not be liable for any act or omission of any third party or for any cause beyond its reasonable control. In no circumstances will Jupiterwill be liable for any increased costs, or any direct or indirect loss, or any consequential loss.
CONFIDENTIALITY
Unless notified in writing, all information will be deemed to be non-confidential. The customer authorises Jupiterwill to refer to the relationship in any promotional material.
